CoinShed is an online peer-to-peer marketplace operated by CoinShed Ltd, a company incorporated under the Companies Act 1993 in New Zealand. CoinShed provides a platform that enables registered users to list, discover, and negotiate the exchange of goods and services using cryptocurrency as the means of payment. CoinShed does not act as a buyer, seller, agent, financial institution, or payment processor in any transaction conducted through the platform. CoinShed is not a licensed financial service provider, does not provide financial advice, and does not facilitate, process, or hold cryptocurrency on behalf of any user. All transactions are conducted directly between users on a peer-to-peer basis.
You must be at least 18 years of age and have full legal capacity to enter into a binding contract to create an account or use CoinShed. By using the platform, you represent and warrant that you meet these requirements. If you are accessing CoinShed on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these terms. CoinShed reserves the right to refuse access to any person or entity at its sole discretion, including where it has reason to believe that you may breach applicable law.
CoinShed is a message board and communications platform only. We provide a space for users to post listings and contact each other directly. CoinShed does not facilitate, process, handle, or secure any transaction between users. We do not hold, receive, convert, or retain custody of any cryptocurrency or fiat currency at any time. All transactions — including the exchange of cryptocurrency for goods or services — occur entirely between buyers and sellers in a private peer-to-peer capacity, using their own wallets and at their own risk. CoinShed is not a party to any transaction, does not make any offer or counteroffer, mediation, or advice to acquire or dispose of any financial product as defined under the Financial Markets Conduct Act 2013 (NZ). CoinShed is not a virtual asset service provider (VASP), exchange, custodian, or financial intermediary.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and current information at registration and keep it up to date. You agree to notify CoinShed immediately of any unauthorised access to your account. CoinShed will not be liable for any loss or damage arising from your failure to protect your account credentials. Accounts are personal and non-transferable. You must not create multiple accounts, share your account, or allow another person to use your account. CoinShed may require identity verification at any time as a condition of continued access.
Every listing submitted to CoinShed is subject to review before it is published. CoinShed uses automated systems and manual review to assess listings for compliance with our listing policies and applicable law. By submitting a listing, you confirm that: (a) the item or service you are listing is one you own or have authority to sell; (b) the description is accurate and not misleading; (c) the item is not prohibited under New Zealand law or CoinShed's prohibited items policy; and (d) you have all necessary rights, licences, and permissions to list and sell the item. CoinShed may reject, remove, or modify any listing at its sole discretion and without notice. Sellers are solely responsible for the legal compliance of their listings, including compliance with the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 where applicable.
CoinShed displays indicative New Zealand Dollar (NZD) equivalents for listed prices using third-party market data for reference purposes only. These figures are not guaranteed, not a quote, and may not reflect market value at the time of any transaction. All cryptocurrency is exchanged directly between buyers and sellers using their own external wallets. CoinShed does not hold, transfer, convert, receive, or take custody of any cryptocurrency or other currency at any time. Blockchain transactions are irreversible — you are solely responsible for verifying all wallet addresses before transacting and before sending any funds. CoinShed accepts no liability for any loss arising from incorrect wallet details, failed transactions, network fees, blockchain delays, or price volatility. The use of cryptocurrency to purchase goods and services may have tax implications under New Zealand law. Users are responsible for their own tax obligations — see the Inland Revenue Department (IRD) guidance at ird.govt.nz/cryptocurrencies.
You must not use CoinShed to list, offer, or facilitate the sale of: (a) items that are illegal to sell under New Zealand law or the law of the buyer's jurisdiction; (b) controlled substances, weapons, or prohibited goods as defined under the Arms Act 1983, Misuse of Drugs Act 1975, or related legislation; (c) counterfeit or stolen goods; (d) items subject to active sanctions. You must not engage in fraud, misrepresentation, price manipulation, fake listings, bid stacking, or any activity designed to manipulate other users. You must not use the platform for money laundering, tax evasion, or circumventing identification requirements, or for any activity prohibited under the Anti-Money Laundering and Countering Financing of Terrorism Act 2009 (NZ). Breach of this clause may result in immediate account suspension, reporting to relevant authorities including the New Zealand Police and the Financial Intelligence Unit, and civil action.
CoinShed is a classifieds message board only. It does not hold, transfer, receive, or intermediate any funds or cryptocurrency at any time, and is not a party to any transaction between users. CoinShed is not a virtual asset service provider (VASP), financial institution, payment processor, exchange, or custodian, and does not act as an intermediary in any financial transaction. Accordingly, CoinShed does not self-identify as a reporting entity under the Anti-Money Laundering and Countering Financing of Terrorism (AML/CFT) Act 2009 (NZ) on the basis of its platform activity. Each user is solely responsible for determining and meeting their own obligations under the AML/CFT Act and any other applicable laws in relation to transactions they conduct. You must not use CoinShed for money laundering, terrorism financing, or any activity prohibited under New Zealand or applicable international law. Where CoinShed becomes aware of activity that gives rise to reasonable grounds for suspicion of money laundering or terrorism financing, it reserves the right to voluntarily report that activity to the New Zealand Police Financial Intelligence Unit and to suspend or terminate the relevant account without prior notice.
CoinShed is currently free to use during its beta period. There are no listing fees, transaction fees, or subscription charges at this time. CoinShed reserves the right to introduce fees at any time following the conclusion of the beta period. We will provide reasonable advance notice — no less than 30 days — before any fee changes take effect. Continued use of the platform after the effective date of a fee change constitutes your acceptance of the new fee structure. Any fees introduced will be clearly disclosed before you incur them.
To the maximum extent permitted by applicable New Zealand law, CoinShed provides the platform on an "as is" and "as available" basis without warranties of any kind, whether express or implied. CoinShed does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. CoinShed excludes all liability for any loss or damage — including direct, indirect, consequential, or incidental loss — arising from: (a) your use of or inability to use the platform; (b) any transaction entered into between users; (c) the conduct of any other user; (d) any cryptocurrency transaction including losses arising from price volatility, failed transfers, or wallet error; or (e) any reliance on information or descriptions. Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence, or any liability that cannot be excluded under the Consumer Guarantees Act 1993 or Fair Trading Act 1986 (NZ) where those Acts apply.
All intellectual property in the CoinShed platform — including its design, source code, branding, trademarks, and content created by CoinShed — is owned by or licensed to CoinShed Ltd. You may not copy, reproduce, distribute, reverse-engineer, or create derivative works from any part of the platform without our written consent. By listing content on CoinShed (including descriptions, photos, and pricing), you grant CoinShed a non-exclusive, royalty-free, worldwide licence to display, store, and use that content for the purpose of operating the platform. You retain ownership of content you create and are responsible for ensuring you have the right to post it.
CoinShed collects and handles personal information in accordance with our Privacy Policy and the Privacy Act 2020 (NZ). By using the platform, you consent to the collection, storage, and use of your personal information as described in our Privacy Policy. You have the right to access and correct personal information we hold about you. Where CoinShed is required by law to disclose information — including under the AML/CFT Act, a court order, or other lawful authority — it will do so without prior notice to the affected user.
CoinShed may suspend or terminate your account at any time, with or without notice, for any reason including breach of these terms, suspected illegal activity, or where required by law. You may close your account at any time through your account settings. Termination does not affect any rights or obligations that accrued before the date of termination. On your request, we will delete your personal data subject to the exceptions in our Privacy Policy. CoinShed may retain your data as required by law or legitimate business purposes following termination.
These terms are governed by and construed in accordance with the laws of New Zealand. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the New Zealand courts. If you are accessing CoinShed from outside New Zealand, you are responsible for compliance with the laws of your jurisdiction. Where New Zealand law applies, your statutory rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 are not affected by these terms. CoinShed encourages users to first raise concerns directly with us before commencing formal proceedings.
CoinShed may update these terms from time to time to reflect changes to the platform, changes in applicable law (including any changes in the regulation of cryptocurrency or digital asset services in New Zealand), or for other operational reasons. We will notify registered users of material changes by email or a prominent notice on the platform. The "last updated" date at the top of this page reflects when these terms were last revised. Continued use of the platform after the effective date of changes constitutes your acceptance of the revised terms. If you do not agree to updated terms, you must stop using the platform.
